1. Authenticity

The Supplier declares and guarantees that all products delivered to Neeskens B.V.:

• are original and authentic;
• hereby declares towards: Handelsonderneming Neeskens B.V. Salland 5-7, 1948RE, Beverwijk, The Netherlands, Noord-Holland, KVK 34064864 (Neeskens B.V.) the following: 1. Authenticity The Supplier declares and guarantees that all products delivered to Neeskens B.V.: • are original and authentic; • are not counterfeit, imitation, unauthorized, or replica products; • comply with the specifications of the original brand owner/manufacturer. 2. Origin and Traceability The Supplier declares that: • all products are sourced directly from the original manufacturer or from a distributor authorized by the manufacturer; • upon request of Neeskens B.V., proof of origin and traceability will be provided, including purchase invoices, serial numbers, or other relevant documentation. 3. Prohibition of Non-Authentic Supply The Supplier shall under no circumstances knowingly supply non-authentic or unauthorized products to Neeskens B.V. 4. Duty to Notify If the Supplier suspects or becomes aware that any products may not be authentic, the Supplier shall immediately notify Neeskens B.V. in writing and suspend further deliveries until clarification is obtained. 5. Liability and Indemnification If delivered products are found to be non-authentic, the Supplier shall be fully liable for all direct and indirect damages, costs, and claims, including legal costs, product recalls, destruction of goods, and claims from brand owners. The Supplier fully indemnifies Neeskens B.V. against such claims. 6. Audit and Inspection Right Neeskens B.V. is entitled to perform random inspections or request documentation relating to product origin and authenticity. 7. Validity This declaration applies to all current and future deliveries to Neeskens B.V., unless otherwise agreed in writing.

The Supplier declares that:

3. Prohibition of Non-Authentic Supply

The Supplier shall under no circumstances knowingly supply non-authentic or unauthorized products to Neeskens B.V.

4. Duty to Notify

If the Supplier suspects or becomes aware that any products may not be authentic, the Supplier shall immediately notify Neeskens B.V. in writing and suspend further deliveries until clarification is obtained.

5. Liability and Indemnification

If delivered products are found to be non-authentic, the Supplier shall be fully liable for all direct and indirect damages, costs, and claims, including legal costs, product recalls, destruction of goods, and claims from brand owners.

The Supplier fully indemnifies Neeskens B.V. against such claims.

6. Audit and Inspection Right

Neeskens B.V. is entitled to perform random inspections or request documentation relating to product origin and authenticity.

7. Validity

This declaration applies to all current and future deliveries to Neeskens B.V., unless otherwise agreed in writing.
